Terms of Service Agreement

1. Introduction

Welcome to Next9 ("we," "our," or "us"). This Terms of Service Agreement (the "Agreement") governs your access to www.next9.ai (our website) and use of Next9 app for Slack along with all related services provided by Next9.

 

By accessing and using the app, you agree to be bound by this Agreement. If you do not agree to the terms and conditions outlined in this Agreement, please do not use the website or the app.

 

   2. Acceptable Use

You agree to use the Next9 website or app for Slack solely for lawful purposes and in compliance with all applicable laws and regulations. You shall not:

 

(a) Violate any intellectual property rights or proprietary rights of others;

(b) Transmit any content that is harmful, offensive, defamatory, or violates any third-party rights;

(c) Interfere with or disrupt the integrity or performance of the website or the app or its associated services;

(d) Attempt to gain unauthorised access to any portion of the website or the app for Slack;

(e) Use the Website or its related app for Slack for any commercial or promotional purposes without our prior written consent.​

  3. Customer Data

a. Data Warranty

The Next9 website or app for Slack and its services are provided "as is" and without any warranties or representations, express or implied. Next9 disclaims all warranties, including but not limited to, the accuracy, reliability, or completeness of any information or content on the website or on the app for Slack.

 

b. Customer Responsibility 

Customer and its Authorized Users shall have access to the Customer Data and shall be responsible for all changes to and/or deletions of Customer Data and the security of all passwords and other Access Protocols required in order the access the Services provided by Next9. Customers are encouraged to make their own back-ups of the Customer Data. Customers shall have the sole responsibility for the accuracy, quality, integrity, legality, reliability, and appropriateness of all Customer Data.

   4. Fees  

Other than with respect to those Customers whose Customer Orders provide for a free subscription or evaluation, Customer shall pay Next9 (our Pricing Plan Fees) for the access to and use of the Services on a subscription basis as applicable from time to time during each Term. 

 

   5. Disclaimers

 

1. Limitation of Liability

To the maximum extent permitted by law, Next9 and its affiliates shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from or in connection with the use of the Website or its services, even if we have been advised of the possibility of such damages.

 

   2. Indemnification

You agree to indemnify and hold Next9, its officers, directors, employees, and agents harmless from any claims, damages, liabilities, and expenses (including legal fees) arising out of your use of the website or the app for Slack or any violation of this Agreement.

 

  3. Intellectual Property

All content, materials, and trademarks on the website or the app for Slack are owned or licensed by Next9. You are granted a limited, non-exclusive, and non-transferable license to access and use the website or the app for Slack for personal and non-commercial purposes. You shall not reproduce, modify, distribute, or create derivative works based on the content without our express written consent.

 

   4. Modifications

We reserve the right to update or modify this Agreement at any time without prior notice. Any changes will be effective upon posting the updated Agreement on the Website. Your continued use of the Website after any modifications will constitute your acceptance of the revised Agreement.

 

   6. Privacy policy

The Privacy Policy applies only to the Next9 website or the app for Slack and does not apply to any third party website or service linked to the Next9 website or the app for Slack.
